Restaurant Brokerage

Ryn Longmaid is a commercial real estate agent who specializes in the confidential sale of restaurants and other hospitality-related businesses.

Ryn also works with landowners for the sale and/or leasing of commercial real estate. She lists, sells and consults on the transfer of ABC liquor licenses in all California counties, and she consults with buyers on business plan creation to secure funding.

Restaurant Owners/Sellers

Ryn offers confidential seller representation for business sales, leases, the sale of ABC liquor licenses and real estate. Services include, but are not limited to:

  • Valuation: Calculate the most probable selling price using a weighted average of the last three years of operations *
  • Sales and Marketing: Work with client to create a confidential marketing package including the business profile, list of furniture, fixtures, and equipment, and a summary of seller’s financials formatted for easy reference
  • Post confidential advertising across a multitude of business brokerage websites as well as Ryn’s Website, the Santa Rosa Business & Commercial website, Craigslist, Facebook and Instagram
  • Direct marketing to unsolicited buyers with lists curated by the seller
  • Manage all buyer queries, collect non-disclosure agreements, vet buyers, and arrange and attend premise tours
  • Once a buyer is procured, Ryn will work closely with the buyer to ensure the communication with the relevant parties, such as the landlord, moves along smoothly. She will assist with the health department site review for change of ownership, and ABC license transfer (when applicable). >>>This is an important service to the seller because if any of these contingencies are not performed in a timely manner or are performed incorrectly, it will bog down the entire sale or kill the deal entirely. <<<

Restaurant Buyers

Depending on the buyer’s needs, Ryn will co-create a plan to find the perfect business opportunity. This may include reaching out to businesses not currently on the market (i.e. unsolicited offer representation).

Services include, but aren’t limited to:

  • Assist buyers in putting together their financial and credit package as required by both the seller and landlord
  • Discuss best financing options available to the seller and connect them to the proper agency: SBA lender, micro-financing firm and others
  • Coordinate and attend premise tours of prospective businesses
  • Purchase representation–prepare a letter of interest or Business Purchase agreement and present it to the seller or seller’s agent
  • Connect buyer to the landlord and negotiate lease terms
  • Work with the buyer to apply for the Health Department change of ownership site review, and meet the buyer and health department inspector on site the day of the inspection
  • Assist buyers in the completion of the ABC transfer license (where applicable) as the transfer of the license will determine the length of the escrow
  • Secure all information requested by the buyer from the seller
  • Arrange and attend meetings between the buyer and the seller

Landlords and Landowners of Commercial Property

As a Commercial Real Estate Ryn is experienced with real property acquisitions.

Services include, but aren’t limited to:

  • Secure all documents and information about the property from seller or seller’s agent
  • Draft a letter of intent or formal offer
  • Collect financial and credit information from buyer as required by seller
  • Work with buyer on due-diligence and help arrange meetings and onsite inspections
  • Make sure buyer is in receipt of title searches and property entitlements as well as zoning confirmation
  • Manage contract timelines and ensure buyer is successfully meeting them
  • Work with escrow and take care of any potential obstructions to a timely and successful close

Business Owners interested in Commercial Lease opportunities:

As a Commercial Real Estate Agent, Ryn is experienced with commercial leasing especially the leasing of restaurant and food-related spaces. She is available to work with business owners looking for either short or long-term leases.

Services include, but aren’t limited to:
• Assist business owners in searching for spaces on LoopNet, MLS, and Craigslist
• Help business owners determine appropriate lease terms based on their long- and short-term goals as well as rent rates in relationship to projected gross income
• Draft letters of interest as well as full lease packages
• Manage communications between the business owner and the landowner or property manager and ensure client is completing the necessary items to successfully secure a lease, such as certificates of insurance, proper lease execution, lease deposits, due diligence and inspections

Ryn has over 25 years’ experience in the hospitality and food industries working as restaurant operator, culinary management instructor and business broker. She is knowledgeable in all facets of the restaurant business cycle from start up to transfer of ownership. Business Valuation

Referred to as the Most Probable Selling Price (MPSP), Ryn provides a thorough report detailing the business owner’s MPSP based on a weighted average analysis of the last three full years of operation. * Analysis includes the business performance against industry standards, review of the lease terms, calculation of financial trends and margins, and business comps.

Liquor License Sales and Acquisition

Sellers/License Transferors:

For sellers of Type-47 full liquor licenses, Ryn will advertise the license on multiple websites, vet buyers, ensure buyers have a premise permitted by the county health department (a very important detail for a successful and quick transfer) and manage the transfer process so buyers can move quickly and efficiently.

Buyers/License Transferees:

Ryn works with buyers to secure an original ABC license of most any type. For licenses sold on the open market, Ryn will provide purchase agreements, help buyers to access lending (if necessary) and work with both parties to successfully complete the ABC license transfer application and manage the escrow process.

Business Plan Creation

Ryn is adept at business plan creation, as she had years of experience developing business plans with students and student teams while securing her MBA, as an instructor at the Culinary Institute of America-Greystone, and at the Art Institute of California, San Francisco. As a consultant, Ryn has worked with many clients in the development of business plans–all of which were used to successfully secure private and/or SBA funding for first-time restaurant and business owners.
